Northwest Stock Images Subscription, Licensing, Commercial Use, Privacy, and DMCA Agreement (Version 1.1)

This Subscription, Licensing, and DMCA Compliance Agreement (“Agreement”) is entered into between ZAPNOW Productions, LLC, a Washington limited liability company doing business as Northwest Stock Images (“Company,” “we,” “our,” or “us”), and the individual or entity (“User,” “Subscriber,” “Licensee,” or “you”) accessing, purchasing, or using photographs or related media (“Content”) through www.northweststockimages.com

(“Website”).

By purchasing, downloading, subscribing to, or otherwise using any Content from Northwest Stock Images, you acknowledge that you have read, understood, and agree to be legally bound by this Agreement.

1. Subscription Overview

1.1 Subscription Plan and Minimum Commitment

Northwest Stock Images offers a recurring monthly subscription (“Subscription”) for $9.99 per month (plus applicable taxes). An active Subscription provides unlimited downloads of photographs for real-estate, editorial, and limited commercial use as described in this Agreement.

Each Subscriber agrees to a minimum six-month commitment (“Initial Term”).

• If you cancel before completing the six-month Initial Term, you authorize ZAPNOW Productions, LLC to immediately charge your payment method for the remaining unpaid balance of the six-month term.
• After six months of active, paid subscription, you may cancel at any time with no additional penalty.
• Upon cancellation, you must immediately suspend all use of photographs as described in Section 3.2.

1.2 Renewal and Cancellation

• Subscriptions renew automatically each month unless canceled before the renewal date.
• Cancellation becomes effective at the end of the current billing cycle (or after the Initial Term if within the first six months).
• No prorated or partial refunds are issued.

1.3 Termination for Breach

The Company reserves the right to suspend or terminate your Subscription immediately for violations of this Agreement, including unauthorized sharing, redistribution, or commercial resale of Content.

2. Per-Image Licensing

2.1 Real Estate License

Users who do not maintain a Subscription may purchase individual photo licenses. Each Real Estate License grants a non-exclusive, non-transferable right to use a photograph once for a single property listing for which the licensee is the listing agent.

Reuse of the same photograph for another listing requires purchasing a new license.

Real Estate Licenses may not be shared, transferred, or used commercially outside that listing.

2.2 Editorial License

Editorially licensed photographs may be used solely for factual, journalistic, or educational purposes, such as news articles, blogs, or publications.

Editorial photographs may not be used for advertising, endorsements, or any commercial purpose.

Recognizable individuals appearing in editorial photographs have not signed model or property releases; using their likeness for profit may violate RCW 63.60.010 et seq. and federal publicity-rights law.

3. Subscription License Grant

3.1 Permitted Uses (Subscription)

While actively subscribed (and current on all required payments), you are granted a non-exclusive, non-transferable, revocable license to use downloaded photographs for:

• Real Estate Use: Marketing properties you personally represent;
• Editorial Use: News, factual, or educational publication; and
• Limited Commercial Use: Standard business promotion such as company websites, social-media advertising, brochures, or non-resale marketing materials.

3.2 License Limitations

Your Subscription license does not permit:

• Resale of images or use on merchandise, prints, artwork, or any product for sale;
• Transfer or sharing of Content with non-subscribed individuals or entities;
• Continued use of photographs after cancellation.
• Upon cancellation or non-renewal, all rights to previously downloaded Content immediately revert to ZAPNOW Productions, LLC, and you must cease use of all photographs, including previously published materials, except as explicitly licensed under a separate commercial agreement.

4. Commercial Licensed Photography

4.1 Commercial License Overview

Commercial licenses are available separately from the Subscription or per-image options. Each Commercial License grants a non-exclusive, limited right to use the purchased photograph for standard commercial purposes, including:

• Advertising or promotional materials;
• Company websites, social-media campaigns, online ads, and brochures;
• Trade-show displays and printed marketing collateral.

4.2 Prohibited Uses (Commercial Licenses)

Even with a valid Commercial License, you may not:

• Sell, sublicense, or redistribute photographs to others;
• Enable others to download or extract the image;
• Use photographs on merchandise, prints, or artwork for resale;
• Incorporate photographs into products intended for sale or profit;
• Claim the photographs as your own original works.

These restrictions comply with 17 U.S.C. §106 and RCW 19.86 (Washington Consumer Protection Act).

4.3 Duration and Scope

Commercial Licenses are perpetual for the approved project use and non-transferable. New uses require new licenses.

4.4 Discounted Commercial Licenses

ZAPNOW Productions, LLC may, at its discretion, offer discounted Commercial Licenses to active Subscribers or repeat clients upon written request.

5. Ownership and Copyright

All Content on the Website is owned by ZAPNOW Productions, LLC or its contributing photographers and protected by U.S. and international copyright law.

Purchasing or subscribing provides only a license to use — not ownership — of any photograph.

All rights not expressly granted remain the exclusive property of ZAPNOW Productions, LLC.

6. DMCA Policy (Copyright Compliance)

If you believe any material on the Website infringes your copyright, please send a DMCA Takedown Notice including:

1. Your full name, phone number, and email address;
2. Identification of the copyrighted work;
3. The URL or location of the allegedly infringing material;
4. A good-faith statement that the use is not authorized;
5. A statement under penalty of perjury that your claim is accurate; and
6. Your physical or electronic signature.

7. Payment Terms

All payments are securely processed through our designated payment processor.

By subscribing or purchasing, you authorize ZAPNOW Productions, LLC to charge your selected payment method for recurring monthly fees or one-time license purchases.

• You agree to the six-month Initial Term payment commitment described in Section 1.1.
• If you cancel before completing six months, you authorize immediate billing of the remaining unpaid balance.
• After the six-month commitment is met, cancellation may occur anytime without penalty.
• Failure to maintain valid payment information may result in suspension or termination of access.

8. Refund Policy

All sales are final.

Because Content is digital and licensed upon download, ZAPNOW Productions, LLC does not issue refunds, exchanges, or credits after activation.

Refunds may be granted only for proven duplicate charges or verified system errors.

By completing a purchase or subscription, you waive any chargeback or refund claim under RCW 19.86.090, except as required by law.

9. Privacy Policy

ZAPNOW Productions, LLC values your privacy. We collect only data necessary to:

• Process payments and manage accounts;
• Communicate regarding purchases or licenses; and
• Comply with legal obligations.

We do not sell or rent personal data to third parties. Payment information is handled by PCI-compliant processors.

You may request access to, correction of, or deletion of your personal data by contacting tony@tonyzapien.com

We comply with the Washington Consumer Data Protection Act (WCDPA) and applicable FTC data-protection standards.

10. Indemnification

You agree to indemnify and hold harmless ZAPNOW Productions, LLC, its owners, affiliates, photographers, and employees from any claims, damages, losses, or expenses (including attorney’s fees) arising from:

• Your breach of this Agreement;
• Your misuse of licensed Content; or
• Your violation of third-party rights.

11. Limitation of Liability

ZAPNOW Productions, LLC shall not be liable for indirect, incidental, consequential, or punitive damages, even if advised of their possibility.

Total liability shall not exceed the total amount you paid within the preceding twelve (12) months.

12. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of Washington and applicable U.S. federal law.

All disputes shall be resolved exclusively in the courts of Whatcom County, Washington, and you consent to their jurisdiction and venue.

13. Modifications

ZAPNOW Productions, LLC may update this Agreement at any time.

Revised terms take effect upon posting to the Website, and continued use constitutes acceptance.

14. Entire Agreement

This document constitutes the entire understanding between you and ZAPNOW Productions, LLC and supersedes all prior communications regarding Northwest Stock Images’ Content, licensing, or use.
